CFIUS

The Committee on Foreign Investment in the United States (CFIUS) reviews certain foreign investments in U.S. businesses for national security risks. Government contractors, especially those working in defense, critical technologies, critical infrastructure or sensitive personal data, are frequent subjects of review.

How we help

  • Determining whether a transaction is within CFIUS jurisdiction
  • Assessing whether a filing is mandatory, for example for certain investments in critical technology businesses
  • Preparing declarations and notices and responding to CFIUS questions
  • Negotiating mitigation agreements
  • Coordinating CFIUS review with DCSA FOCI requirements for cleared companies

Failing to make a required filing can bring significant penalties, and CFIUS can review non-notified transactions after closing. Considering CFIUS early lets buyers and sellers build review time and risk allocation into the deal documents.
